Portfolio Scope: TWS Log, TWS Cabin, TWS Drone, TWS Nav, and all future TWS products
PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY. BY CREATING AN ACCOUNT, PURCHASING A SUBSCRIPTION, OR USING ANY SOFTWARE APPLICATION IN THE TIMEWELLSPENT PORTFOLIO (INCLUDING TWS LOG, TWS CABIN, TWS DRONE, AND TWS NAV), YOU AGREE TO BE BOUND BY THESE TERMS.
1. Scope of Agreement
These Terms govern your access to and use of all software applications, mobile apps, websites, and services operated by AeroDev (Pty) Ltd (“Company”, “we”, “us”) under the TimeWellSpent / TWS brand, including TWS Log, TWS Cabin, TWS Drone, TWS Nav, and any future software products added to the TWS portfolio (collectively, “TWS Products”).
2. User Accounts & Operational Responsibilities
- User Accuracy: You are solely responsible for ensuring the accuracy, completeness, and legal validity of all flight logs, hours, line check summaries, drone operational records, flight plans, and document uploads entered into any TWS Product. TWS Products serve as record-keeping and processing tools and do not independently verify data accuracy.
- Account Confidentiality: You must maintain the confidentiality of your account credentials (username and password) and restrict unauthorized access to your devices. You are liable for all activities occurring under your account credentials.
- Regulatory Compliance: You remain fully responsible for ensuring that your record-keeping complies with applicable civil aviation authorities (such as the SACAA, FAA, EASA, or equivalent national bodies).
3. Product-Specific Disclaimers
A. Navigation & Flight Planning (TWS Nav)
TWS Nav provides software features to assist with route visualisations and flight calculations. TWS Nav is provided for supplementary situational awareness and flight planning assistance only. It does NOT replace official aeronautical publications, official ANSP weather briefings, or mandatory paper/certified electronic navigation logs. The Pilot-in-Command (PIC) retains sole and non-delegable responsibility for safe flight conduct and navigation decisions.
B. RPAS Operations (TWS Drone)
TWS Drone assists in recording flight logs and managing compliance paperwork. It does NOT automatically grant air traffic authorizations, airspace permissions, or guarantee statutory regulatory approval for commercial RPAS operations.
C. Cabin & Flight Crew Logs (TWS Cabin & TWS Log)
Calculations generated by TWS Log and TWS Cabin (such as flight duty limitations or career logbook summaries) are automated tools to assist crew members. Users must verify all summary outputs against official requirements before submitting them for formal regulatory rating renewals or employer applications.
4. Subscriptions & Payments
● Access to TWS Products is provided on a recurring subscription basis (monthly or annually).
● Subscriptions automatically renew unless cancelled prior to the end of the current billing cycle.
● Failure to maintain an active subscription may result in restricted access to cloud synchronization, export capabilities, or advanced application features.
● Your data may be deleted 24 months after we send you a final notice of non-payment and it may be subject to a data retention fee.
5. Disclaimer of Warranties
PLEASE READ CAREFULLY:
(a) AS-IS SERVICE: ALL TWS PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AERODEV (PTY) LTD DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY OF REGULATORY COMPUTATIONS.
(b) NO GUARANTEE OF UNINTERRUPTED OPERATION: WE DO NOT WARRANT THAT TWS PRODUCTS WILL BE ENTIRELY UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM DATA SYNCHRONIZATION DELAYS.
6. Limitation of Liability & Cyber Event Disclaimer
PLEASE READ CAREFULLY:
(a) EXCLUSION OF CONSEQUENTIAL DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY LAW (INCLUDING POPIA), AERODEV (PTY) LTD, ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INCIDENTAL DAMAGES – INCLUDING LOSS OF DATA, FLIGHT RECORDS, BUSINESS INTERRUPTION, OR FINANCIAL LOSS – ARISING OUT OF OR IN CONNECTION WITH THE USE OF ANY TWS PRODUCT.
(b) CYBER INCIDENTS & SECURITY BREACHES: AERODEV (PTY) LTD IS NOT LIABLE FOR UNAUTHORIZED EXFILTRATION, LOSS, OR ALTERATION OF DATA RESULTING FROM CYBERATTACKS, ZERO-DAY EXPLOITS, OR UNAUTHORIZED SYSTEM INTRUSIONS, PROVIDED THAT AERODEV HAS MAINTAINED COMMERCIALLY REASONABLE SECURITY SAFEGUARDS (INCLUDING DATA ENCRYPTION AND ACCESS CONTROLS).
(c) AGGREGATE LIABILITY CAP: IN ALL EVENTS, THE TOTAL CUMULATIVE LIABILITY OF AERODEV (PTY) LTD TO YOU FOR ALL CLAIMS RELATING TO ANY TWS PRODUCT SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO AERODEV FOR YOUR TWS SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Data Backup Responsibility
While AeroDev (Pty) Ltd performs routine, encrypted cloud backups of application databases, you acknowledge and agree that you are responsible for maintaining independent secondary backups of your vital flight logbooks, line check records, drone logs, and uploaded documents. You may utilize the built-in export features across the TWS Products to maintain local offline copies.
8. Intellectual Property
All software, user interface designs, algorithms, logos, database schemes, and trademarks associated with TimeWellSpent, TWS Log, TWS Cabin, TWS Drone, TWS Nav, and future TWS Products are the sole intellectual property of AeroDev (Pty) Ltd. Your subscription grants you a non-exclusive, non-transferable, revocable license to use the products for personal or internal business operations during your active subscription period.
9. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any legal disputes or claims arising under or in connection with these Terms or the TWS Products shall be subject to the exclusive jurisdiction of the South African courts.
